General Terms and Conditions of Sale


SECTION A – B2B SALES (Business-to-Business)

1A. Scope
These Terms apply to all sales to business customers (“Buyers”), within or outside the EU. Any Buyer (individual or entity) who uses or promotes the use of the purchased product on a vessel for charter, passenger transport, association cruises, or any activity involving public advertising and/or revenue generation, shall be deemed a commercial user and treated as a business customer under these Terms. Conflicting purchasing terms of the Buyer are excluded unless expressly accepted in writing.

2A. Delivery – Incoterm
All B2B sales are conducted EXW Vienna, Austria (Incoterms 2020). Risk and responsibility transfer to the Buyer once the goods are made available at the Seller’s facility.
If the Seller arranges transportation on behalf of the Buyer, it acts solely as the Buyer’s agent, and this does not alter the EXW condition.
Even when the Seller arranges shipment on behalf of the Buyer under EXW Vienna, any insurance coverage included is strictly limited to a maximum of EUR 100. The risk of loss or damage during transport remains entirely with the Buyer. The Buyer may request additional insurance at its own expenses.

3A. Pricing and Taxes

  • Intra-EU: Reverse charge mechanism applies with valid EU VAT number.
  • Extra-EU: No VAT charged. Buyer responsible for all import duties, taxes, and customs clearance.
    All prices are net of transport, insurance, and packaging unless agreed otherwise.

4A. Warranty

  • 12 months from delivery (EXW Vienna).
  • The warranty covers manufacturing defects only. Labor costs incurred by third parties, including but not limited to installation, removal, inspection, or repair by external technicians, yards, or contractors, are expressly excluded from warranty coverage. Installation must be performed by certified or professionally qualified personnel. The Seller may reject warranty claims if there is no evidence of proper installation. The Seller reserves the right to request proof of professional installation (such as invoices or documentation) in the event of a warranty claim. No warranty applies in case of installation errors, unqualified labor, or modifications made by the Buyer or third parties.
  • No coverage for misuse, improper installation, or wear.
  • Defective parts must be shipped to Vienna at Buyer’s expense.
  • If covered under warranty, return shipping is covered by Seller (only to original delivery country).
  • Warranty coverage for reverse osmosis membranes is conditional upon proper commissioning of the system within thirty (30) days from the date of delivery (EXW Vienna).
    If the system is not commissioned and operational within this period, any defect or performance issue related to the membranes shall be excluded from warranty coverage, regardless of the cause. This includes, but is not limited to, fouling, biological growth, performance degradation, or physical damage due to improper storage.
  • Replacement Parts Warranty Limitation: Any component replaced under warranty shall be covered solely for the remaining duration of the original warranty period applicable to the product. The replacement does not initiate a new warranty period, nor does it extend or renew the existing warranty coverage.

5A. Territorial Limitation
Warranty service is limited to the original country of delivery. The Seller is not obliged to provide replacements or support in any other location (e.g. if the equipment is relocated aboard a vessel). Pickup at EXW Vienna can be arranged by the Buyer.

6A. Liability
The Seller’s liability is strictly limited to the purchase value of the defective product. The Seller shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of use, loss of revenue, delays, or downtime.

7A. Jurisdiction and Law
These Terms are governed by Austrian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria.


SECTION B – B2C SALES (Business-to-Consumer)

1B. Scope
These Terms apply to sales to private individuals (“Consumers”) within or outside the EU. By placing an order, the Consumer accepts these Terms.
Any Consumer (individual or association) who uses or promotes the use of the purchased product on a vessel for charter, paid cruises, association-organized trips, or any activity involving public advertising and/or revenue generation shall be considered a commercial user. In such cases, the purchase shall be governed by Section A – B2B Terms, including warranty limitations, liability exclusions, and delivery conditions applicable to business customers.

2B. Delivery – Incoterms and Responsibilities

  • EU Consumers: Delivery is made under DAP (Delivered at Place) or DDP depending on the country and shipping method.
    The Buyer is responsible for receiving the goods at the delivery address.
  • Non-EU Consumers: Delivery is EXW Vienna, Austria (Incoterms 2020). Risk and responsibility transfer to the Buyer once the goods are made available at the Seller’s facility.
    If the Seller arranges transportation on behalf of the Buyer, it acts solely as the Buyer’s agent, and this does not alter the EXW condition.
    Even when the Seller arranges shipment on behalf of the Buyer under EXW Vienna, any insurance coverage included is strictly limited to a maximum of EUR 100. 3B. VAT and Customs

  • EU: VAT is charged according to the Buyer’s country under the OSS scheme.
  • Outside EU: No VAT is charged. Buyer pays import duties, taxes, and customs charges.

  • EU: 24 months as per applicable consumer protection law.
  • Non-EU: Limited to 12 months from delivery.
  • The warranty covers manufacturing defects only. Labor costs incurred by third parties, including but not limited to installation, removal, inspection, or repair by external technicians, yards, or contractors, are expressly excluded from warranty coverage. Installation must be performed by certified or professionally qualified personnel. The Seller may reject warranty claims if there is no evidence of proper installation. The Seller reserves the right to request proof of professional installation (such as invoices or documentation) in the event of a warranty claim. No warranty applies in case of installation errors, unqualified labor, or modifications made by the Buyer or third parties.

5B. Warranty Claims Procedure

  • Consumer must notify defect in writing and obtain authorization before returning goods.
  • The return of defective parts is always at the Consumer’s expense.
  • If the defect is confirmed under warranty:
    • EU: Seller covers return shipping to the original country.
    • Non-EU: Consumer must pay for shipping, customs, and any charges.
  • If the defect is not covered: all costs are borne by the Consumer.

6B. Right of Withdrawal (EU Only)
Consumers located in the European Union have the right to withdraw from the purchase contract within 14 calendar days without giving any reason. The withdrawal period expires 14 days after the day on which the Consumer or a third party (other than the carrier) takes physical possession of the goods.
To exercise the right of withdrawal, the Consumer must notify the Seller in writing via email.
The Consumer is responsible for the return shipping costs. The goods must be returned in unused, resaleable condition. Upon receipt and inspection of the returned goods, the Seller will issue a refund of the purchase price.
This right of withdrawal applies only to Consumers and does not apply to business purchases (B2B).

7B. Territorial Limitation
Warranty claims are only supported in the country where the goods were originally delivered.
The Seller is not required to support, ship, or service in locations where the product has been moved after delivery.

8B. Liability
The Seller’s liability is strictly limited to the purchase value of the defective product. The Seller shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of use, loss of revenue, delays, or downtime.

Right of Withdrawal – EU Consumers Only

Private individuals (“Consumers”) based in the European Union have the right to withdraw from a purchase within 14 days of receiving the goods, without giving any reason. This right applies exclusively to Consumers, and not to business customers, companies, associations, or anyone using the product for commercial or charter activities.

To exercise this right, you must notify us in writing within 14 days of receipt of the goods by email at:

Returned goods must be received by us no later than 14 days after your withdrawal notice. You are fully responsible for the cost and risk of return shipment.


Conditions for Accepting Returns

Returns under the Right of Withdrawal will only be accepted if all of the following conditions are met:

  • The product has not been installed, used, or tested, especially on board a vessel.
  • The product is returned complete, unused, and undamaged.
  • The product is returned in its original packaging, with all manuals, accessories, and protective materials intact.
  • The product is not a custom configuration or special order (e.g. made-to-measure or personalized components).
  • The product does not include consumables (e.g. RO membranes) that deteriorate by nature or lose hygiene suitability once unsealed.

Goods that have been mounted or installed are automatically excluded from the right of return. Once the unit has been fixed on board, connected, or operated, it shall be considered used and no longer returnable.


Non-Returnable Goods

The following items are excluded from return:

  • Products made to customer specifications or customized to order.
  • Consumables or components with limited shelf-life (e.g. RO membranes), if unsealed or not stored according to recommendations.
  • Goods not suitable for return due to hygiene or safety once opened.
  • Goods that have been installed or used after delivery.
  • Items mixed with other equipment after delivery.

Commercial Use Exclusion

Products purchased by, or ultimately used on behalf of, companies, associations, or for any purpose involving chartering, commercial navigation, or advertised cruises are excluded from all consumer-specific return rights. These sales are governed solely by our General Terms and Conditions – B2B, and no withdrawal period applies under EU consumer protection laws.


Refunds

If your return is approved, we will refund the product price using the original payment method, within 14 days of receiving the goods. Shipping fees, customs duties, and installation costs are not refundable.

We reserve the right to deduct amounts for missing items, damage, or packaging that prevents resale as new.


Return Shipping Address

The return address will be confirmed via email. Returns sent without prior notice and authorization will not be accepted.

We strongly recommend using an insured and trackable shipping method. We are not responsible for lost or damaged returns.

Η παρούσα δήλωση αποσκοπεί στην αποσαφήνιση της φορολογικής θέσης της εταιρείας αναφορικά με την καθαρά αντιπροσωπευτική παρουσία της στην Ελλάδα, η οποία αφορά ένα σκάφος ιδιοκτησίας της εταιρείας, με αυστριακή σημαία, αγκυροβολημένο σε μαρίνα εντός της ελληνικής επικράτειας.

Το σκάφος αποτελεί πάγιο περιουσιακό στοιχείο της εταιρείας, καταχωρισμένο στα λογιστικά βιβλία, και δεν χρησιμοποιείται για άμεσες εμπορικές δραστηριότητες στην Ελλάδα. Χρησιμοποιείται αποκλειστικά για προωθητικές και αντιπροσωπευτικές δραστηριότητες έμμεσου χαρακτήρα, όπως η δημιουργία τεχνικού υλικού και ενημερωτικού περιεχομένου (π.χ. βίντεο και άρθρα) σχετικά με τα προϊόντα που διανέμονται από την έδρα της εταιρείας στην Αυστρία.

  • δεν αποτελεί σταθερό τόπο επιχειρηματικής δραστηριότητας με συνεχή χρήση·

  • δεν υπάρχει σταθερή παρουσία τοπικού προσωπικού·

  • οι δραστηριότητες έχουν χαρακτήρα επικουρικό, προπαρασκευαστικό ή προωθητικό·

  • κάθε εμπορική δραστηριότητα διενεργείται και διαχειρίζεται αποκλειστικά στην Αυστρία.
